These Terms of Services govern your use of our products. References to our products in this Terms of Service refer to all of our products and services, including our apps, websites, chrome extensions and software (“Service”).
Fundamento Services are provided by, and you’re contracting with, Skillr Talent Private Limited, a private limited company incorporated under the Companies Act, 2013, and operating under the laws of India having its registered office at A-38, New Friends Colony, New Delhi, South Delhi, Delhi – 110065, India.
In addition to these terms, we publish a Privacy Policy that describes how we process, collect, use, and protect your information.
Skillr Talent Private Limited reserves the right to update and change the Terms of Service without notice. Any new features that augment or enhances the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms of Service at any time here.
For information on how information is gathered and used at the Site and on the App, please go to our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference. If you do not agree to these Terms, you must discontinue using the Services and terminate your registration with us. The Services are owned by Skillr Talent Private Limited.
Also, violation of any of the terms below will result in the termination of your account. You agree to use the Service at your own risk.
In order to use certain services or features on this website, you may be required to register an account.
a. You must register for an Account by:
i. connecting through an available social account (including, but not limited to Facebook, Google Plus); or
ii. providing a username, a valid e-mail address and any other information we may require from time to time.
b. When registering for an account, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form and to maintain and promptly update your information as necessary.
c. You agree to keep your login information confidential and to notify us immediately of any unauthorized use of your account or any other breach of security.
d. By registering for an account, you agree to receive communications from us regarding your account and our services.
e. We reserve the right to terminate or suspend your account at any time for any reason, without prior notice or liability to you.
f. You acknowledge and agree that we may use the information you provide during registration for the purposes of providing our services to you, and as otherwise set forth in our Privacy Policy.
g. By registering for an account, you agree to abide by these terms and conditions and any other policies or guidelines prescribed hereunder.
We want our Service to be as open and inclusive as possible, but we also want it to be safe, secure, and in accordance with the law. So, we need you to commit to a few restrictions in order to be part of the Fundamento community.
a. You must be at least 13 years old.
b. You must not be prohibited from receiving any aspect of our Service under applicable laws or engaging in payments related Services if you are on an applicable denied party listing.
c. We must not have previously disabled your account for violation of law or any of our policies.
d. You are solely responsible for all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials (“Content”) that you upload, post, publish or display or email or otherwise transmit or use via the Services.
The Platform may contain information and content provided by third parties and may contain links to third-party websites, and other resources that are not owned or controlled by Fundamento. Fundamento is not responsible for the availability of such external sites or resources and does not endorse and is not responsible or liable for such external sites or resources. These links and resources do not imply any endorsement by Fundamento, and Fundamento does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website or resource from the Platform, you do so at your own risk, and you understand that this Agreement and Fundamento’s Privacy Policy do not apply to your use of such links. You expressly relieve Fundamento from any and all liability arising from your use of any third- party website, service, or content. You acknowledge and agree that Fundamento is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources.
Fundamento may terminate your access and use of the Services immediately at any time, for any reason, and at such time you will have no further right to use the Services if, at Fundamento’s sole discretion, you fail to comply with any of the Terms.
a. Platform –
Fundamento may make changes to or discontinue any of the media, products or services available within the Platform at any time, and without prior notice. The media, products or services on the Platform may be out of date, and Fundamento makes no commitment to update these materials on the Platform. We may modify the Platform or terminate access to the Platform without prior notice, and you agree that Fundamento shall not be liable to you or any third party for any such termination.
b. Account –
We may, in our discretion, with or without cause, with or without prior notice and at any time, decide to limit, block, suspend, deactivate, or cancel your account in whole or in part. If we exercise our discretion under this Agreement to do so, any or all of the following can occur with or without prior notice or explanation to you: (a) your account will be deactivated or suspended, your password will be disabled, and you will not be able to access the Platform or your User Content, or receive assistance from Fundamento
support teams; and (b) if appropriate in our sole discretion, we may communicate to other Users that your Account has been terminated, blocked, suspended, deactivated, or cancelled, and why this action has been taken. You may cancel your use of the Platform and/or terminate your account at any time by emailing hello@fundamento.ai Please note that if your account is cancelled, we do not have an obligation to delete or return to you any User Content you have posted to the Platform unless otherwise required under applicable law.
If any User behaves in a way that gets us in legal trouble, we may exercise legal recourse against you. You agree to indemnify, defend (if we so request), and hold us, our officers, employees, contractors, suppliers, affiliates, agents and licensors harmless from against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from –
a. the content you post or submit,
b. your use of the Services,
c. your violation of these Terms, or
d. your violation of any rights of a third party.
Your indemnification obligation will survive the termination of these Terms and your use of the Services.
The Services and, with the exception of material posted by Fundamento and Third-Party content, all material published on the Services, including, but not limited to text, photographs, video, text, graphics, music, audio, sounds, messages, comments, ratings, and other materials is owned by Fundamento or its licensors and Our Services is protected by copyright, patents, trademarks, trade secrets and/or other proprietary rights of India.
You acknowledge and agree that Fundamento owns all rights, title and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether registered or not). You further acknowledge that the Services may contain information which is designated confidential by Fundamento and that You shall not disclose such information without Fundamento’s prior written consent.
Fundamento grants you a personal, non-exclusive, non-transferable, limited privilege to avail the Services and make personal use of the Website and/or the Services. This license does not confer any right to download, copy, create a derivative work, modify, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sub-license, grant a security interest in or otherwise transfer any right in the Services. You do not have the right to use any of Fundamento’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features. You do not have the right to remove, obscure, or alter any proprietary rights notices (including trademark and copyright notices), which may be affixed to or contained within the Services. You will not copy or transmit any of the Services.
Upon registering for Fundamento, you will be subscribed to receive online communications from us. To discontinue receiving any of our email lists, you may easily click on the “Unsubscribe” link located at the bottom of the email, and your name shall be promptly removed from our emailing list.
You may not:
a. access or use the Platform for any purpose that is unlawful or prohibited by this Agreement or any applicable law;
b. use the Platform in any manner that in our sole discretion could damage, disable, overburden, or impair it or interfere with any other party’s use of the Platform;
c. intentionally interfere with or damage the operation of the Platform, or any User’s enjoyment of it, by any means, including uploading or otherwise disseminating viruses, worms, or other malicious code;
d. remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Platform, features that prevent or restrict the use or copying of any content accessible through the Platform, or features that enforce limitations on the use of the Platform;
e. attempt to gain unauthorized access to the Platform, or any part of it, other accounts, computer systems or networks connected to the Platform, or any part of it, through hacking, password mining or any other means or interfere or attempt to interfere with the proper working of the Platform or any activities conducted on the Platform;
f. obtain or attempt to obtain any materials or information through any means not intentionally made available through the Platform;
g. use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission or bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Platform;
h. utilize any trademark, logo, or other Fundamento materials without our express written consent, including through framing techniques or in meta tags of “hidden text”;
i. modify the Platform in any manner or form, or use modified versions of the Platform, including (without limitation) for obtaining unauthorized access to the Platform;
j. create more than one account, use another person’s account without authorization, impersonate any person or entity; or forge or manipulate headers or identifiers to disguise the origin of any content transmitted through the Platform;
k. in any way violate any copyrights, trade secrets, or other rights of any third party, including privacy or publicity rights;
l. spam anyone;
m. post advertisements or conduct any commercial solicitation purposes without Fundamento’s written permission;
n. engage in conduct or post content that is libellous, defamatory, abusive, threatening, harassing, hateful, obscene, offensive, humiliating to other people (publicly or otherwise), or otherwise violates any law or right of Fundamento or any third party;
o. share other people’s private or personally identifiable information without their express authorization and permission; or
p. attempt to indirectly undertake any of the foregoing.
You may not do any of the following while accessing or using the Interactive Sessions:
a. use the Interactive Sessions for any purpose other than to perform the activities as instructed by Fundamento;
b. provide web, database, or forum access, or engage in cryptocurrency mining, on or through the Interactive Sessions;
c. exceed the usage limitations outlined on our Support Page;
d. access or use the Interactive Sessions in any commercial production environment;
e. take any action in the Interactive Sessions that results in a disruption or interference of our Services or the stability of our infrastructure; or
f. use any data or information other than simulated, anonymous, non-personal, non-live data or information when accessing or using the Interactive Sessions.
These restrictions are in addition to those listed elsewhere in these Terms.
Fundamento (including its officers, directors, employees, representatives, affiliates, and providers) will not be responsible or liable for (a) any injury, death, loss, claim, act of God, accident, delay, or any direct, special, exemplary, punitive, indirect, incidental or consequential damages of any kind (including without limitation lost profits or lost savings), whether based in contract, tort, strict liability or otherwise, that arise out of or is in any way connected with (i) any failure or delay (including without limitation the use of or inability to use any component of the Website), or (ii) any use of the Website or content, or (iii) the performance or non-performance by Us or any Facility Provider, even if we have been advised of the possibility of damages to such parties or any other party, or (iv) any damages to or viruses that may infect Your computer equipment or other property as the result of Your access to the Website or Your downloading of any content from the Website. The Website may provide links to other third-party websites. Since Fundamento has no control over such third-party websites, you acknowledge and agree that Fundamento is not responsible for the availability of such third-party websites and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such third-party websites. Such third-party websites may have separate terms and conditions and privacy policy, and which are independent of Fundamento and therefore, we advise You to read the terms of use and conditions available on such websites before You access any such third- party website.
Notwithstanding anything under these Terms, Fundamento’s aggregate liability and that of its affiliates, officers, employees and agents relating to the Service(s), will not exceed an amount equal to one (1) month fees paid by You for the specific Service(s) giving rise to the liability. Fundamento’s liability under or in connection with Terms will be proportionately reduced to the extent any loss or damage is contributed to by you or your third-party providers.
You understand that your use of the Services is at your sole risk. It is possible that the platform may experience interruptions or outages, whether due to scheduled maintenance or technical issues. There may also be instances where instructors provide misleading information within their content or where security concerns arise. These are merely illustrative examples. By using the Services, you acknowledge and accept that in such instances, you will have no legal recourse against us. The Services and their content are provided on an “as is” and “as available” basis, without any representations or warranties regarding their suitability, reliability, availability, timeliness, security, accuracy, or freedom from errors. We, along with our affiliates, suppliers, partners, and agents, explicitly disclaim all express or implied warranties and conditions, including those of merchantability, fitness for a particular purpose, title, and non-infringement. We also provide no guarantee that your use of the Services (including any content) will yield specific outcomes, and you assume all risks associated with such use. Some jurisdictions may not permit the exclusion of implied warranties, so certain exclusions set forth above may not be applicable to you.
We retain the right to discontinue certain features of the Services, at any time and for any reason. In no circumstances, we or our affiliates, suppliers, partners, or agents be liable for any damages resulting from such interruptions or lack of availability of these features.
We shall not be liable for any delay or failure in our performance of any Services caused by events beyond our reasonable control, including but not limited to acts of war, hostility, or sabotage; natural disasters; electrical, internet, or telecommunication outages; or government restrictions.
From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and Fundamento reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means, such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.
Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
By using our services, you hereby consent to the use of your information as we have outlined in our Privacy Policy.
These Terms contain legal terms similar to any other contract. These terms may seem tedious, but they are crucial in safeguarding us against various possible scenarios and in defining the legal relationship between us and you.
a. Waiver
Unless acknowledged and agreed to by Fundamento in writing, the failure of Fundamento to enforce any right or provision in these Terms shall not constitute a waiver of that right or provision. No delay or omission by Fundamento in exercising any right under this Agreement shall operate as a waiver of that or any other right. A waiver or consent given by Fundamento on any one occasion shall be effective only in that instance and shall not be construed as a bar or waiver of any right on any other occasion.
b. Notices.
Under this Agreement, you consent to receive communications from Fundamento electronically. Fundamento will communicate with you by e-mail or by posting notices on the Sites or Apps. You agree that all agreements, notices, disclosures, and other communications that Fundamento provides to you electronically satisfy any legal requirement that such communications be in writing. Except as provided herein, all notices and communications to Fundamento shall be in writing and shall be deemed to have been duly given or made (i) with delivery by hand, when delivered, (ii) with delivery by certified or registered mail, postage prepaid; or (iii) with delivery by internationally recognized overnight courier. Notices to Fundamento shall be sent to A-38, New Friends Colony, New Delhi, South Delhi, Delhi – 110065, India.
c. Language.
Any action brought under this Agreement shall be conducted in the English language only.
d. Severability
In the event any provision of this Agreement shall be held invalid, the same shall not invalidate or otherwise affect in any respect any other term or terms of this Agreement, which term or terms shall remain in full force and effect.
e. Transfer and Assignment.
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Fundamento without restriction. Any attempted transfer or assignment in violation hereof shall be null and void. The terms of this Agreement bind and inure to the benefit of each party and the party’s successors and permitted assigns.
f. Headings.
The headings and other captions in this Agreement are included solely for convenience of reference and will not control the meaning and interpretation of any provision of this Agreement.
g. Governing Law and Jurisdiction.
This Terms of Service agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this agreement, including any questions regarding its existence, validity, or termination, shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English and shall take place in Delhi, India. The tribunal shall consist of a sole arbitrator appointed by Fundamento. The decision of the arbitrator shall be final and binding on both parties. The parties shall bear their own costs in relation to the arbitration, except as otherwise provided in the award. The parties shall continue to perform their respective obligations under this agreement during the pendency of any arbitration proceedings. Any court having jurisdiction over the matter may enter judgment upon the award rendered by the arbitrator.
